An Osaühing (OÜ) is Estonia's private limited liability company — analogous to a UK Ltd or US LLC. Since 2014, Estonia's e-Residency program lets non-residents fully incorporate and operate an OÜ remotely with a digital identity card; over 100,000 people from 170+ countries have done so. The killer feature: Estonia's distributed profit tax. Retained earnings are taxed at 0% — corporate tax (22% in 2025, rising to 24% in 2026) only applies when profits are distributed as dividends. This makes the OÜ ideal for founders reinvesting all earnings into growth. The OÜ is a real EU company (Estonia is in the eurozone, EU, NATO), so it has full access to SEPA, can take Wise/Stripe payments, and is recognized by global banks and customers.

Corporate tax 24% (rising from 22% on 1 Jan 2026) applies ONLY to distributed profits. Retained earnings are taxed at 0%. The 24% is grossed-up: an effective rate of 24/76 = 31.6% on the net dividend amount. Regularly distributed dividends (3-year average) qualify for a reduced 14% rate plus 7% withholding for individuals.

Stripe supported
Estonian banks (LHV, SEB, Swedbank) tightened onboarding for non-resident e-Resident OÜs after 2018 AML reforms; expect 50% rejection rate without strong Estonia ties. Most e-Residents use Wise Business, Revolut Business, or Payoneer instead — all SEPA-capable, opened remotely.
Stripe accepts Estonia OÜs for most software businesses. Connect setup is straightforward; verification accepts e-Residency card + EU corporate registration documents.
doola handles the filing, registered agent, EIN/tax ID, and bank account setup as a single bundle. infoz earns a referral fee if you incorporate through this link; we still recommend cross-checking pricing against the official Estonia registry yourself.
